By accessing or using the Notermed platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
Notermed provides AI-powered medical transcription and clinical documentation services designed for healthcare providers. The Service includes:
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials.
The Service is intended for use by licensed healthcare providers and their authorized staff. By using the Service, you represent that you have the legal authority to practice medicine or provide healthcare services in your jurisdiction.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
As a healthcare provider using the Service, you acknowledge and agree that:
The Service and its original content, features, and functionality are owned by Notermed and are protected by international copyright, trademark, and other intellectual property laws.
Each new clinic receives a number of AI sessions at no charge. The current number is shown on our pricing page and inside the application. No payment method is required to use them. When they are exhausted, a paid subscription is required to create new AI sessions. Notes, recordings, and transcripts already in the account remain available to read and export.
Paid plans are sold per seat, billed either monthly or annually. The price that applies to you is the price displayed on the checkout page at the time you subscribe. If a figure shown elsewhere on this website disagrees with the checkout page, the checkout page governs. Adding a seat during a billing period is charged on a prorated basis.
Subscriptions renew automatically. A monthly plan renews every month and an annual plan renews every twelve months, in each case on the anniversary of your subscription date, until you cancel. At each renewal we charge the payment method on file for the then-current price of your plan and seat count, plus applicable taxes. By subscribing, you authorize these recurring charges. You may cancel at any time as described in Section 7.4.
You may cancel your subscription at any time from the Billing screen in your account, which opens a self-service portal. No telephone call and no email to us is required.
Cancellation takes effect at the end of the billing period you have already paid for. You keep full access until that date, and you are not charged again. We do not prorate or refund the remainder of a period that has begun, except where Section 7.7 or applicable law provides otherwise.
If a renewal payment fails, we will notify you and your subscription enters a grace period of seven days, during which the Service continues to work normally so that a documentation workflow is not interrupted by an expired card. If payment is not completed by the end of the grace period, AI features are suspended. Sign-in, and access to notes and records already in the account, are not suspended. Restoring a valid payment method restores AI features.
We may change our prices. We will give you at least thirty days notice by email before a changed price applies to your subscription, and the change will take effect at your next renewal. If you do not accept the new price, you may cancel before that renewal under Section 7.4.
Fees already paid are non-refundable except where required by law. We will, however, refund a charge in two situations: an annual renewal you tell us about within thirty days of the charge and have not used since that renewal, and any charge resulting from our own billing error. Prices are exclusive of sales, use, and similar taxes. Where we are required to collect such taxes, they are calculated at checkout and added to your invoice.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTERMED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NOTERMED DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY ACCURATE.
You agree to indemnify and hold harmless Notermed and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
You may terminate your account at any time. We may suspend or terminate an account for material violation of these Terms, for non-payment as described in Section 7.5, or where we are required to do so by law. Except where a violation requires immediate action, we will give you notice and a reasonable opportunity to correct the problem first.
Your clinical records belong to your clinic, not to us. On termination:
Nothing in this section overrides your own record-retention obligations as a healthcare provider. You remain responsible for retaining clinical documentation for the period your state and payers require.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
We reserve the right to modify these Terms at any time. We will provide notice of material changes through the Service or via email. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
